Terms of Use

The agreement between Synpria, Inc. and the carriers, brokers, drivers, and partners who use the platform.

01 The agreement

These Terms govern your access to and use of the Synpria platform, the driver mobile app, our APIs, and any related services (together, the "Service"). By creating an account, signing an order form, or using the Service on behalf of a company, you agree to these Terms and warrant that you have authority to bind that company.

If your company has a separately negotiated Master Services Agreement with Synpria, that MSA controls and these Terms supplement it.

Quick read — Sign up, pay your invoice, don't break the law, don't try to break the platform. Your data stays yours. We make commercially reasonable promises and limit our liability the way SaaS companies do.

02 Accounts & access

Each user must have their own login. You're responsible for keeping credentials secret and for everything that happens under your account. Notify immediately if you suspect unauthorized access.

The customer's owner-role users are responsible for inviting, removing, and assigning roles to other users in their account.

03 Subscription & billing

Plans

04 Acceptable use

You agree not to:

  • Use the Service to violate FMCSA, DOT, IRS, or other applicable regulations
  • Falsify hours of service, dispatch logs, or driver qualification records
  • Resell or sublicense the Service without a written reseller agreement
  • Reverse-engineer the platform or extract source code from the driver app
  • Run vulnerability scans without scheduling them with our security team
  • Send unsolicited communications using customer contact data inside the Service
HOS & safety — Synpria surfaces ELD data; it does not authorize falsification of HOS logs. Edits made on behalf of drivers must follow 49 CFR § 395.32 and be approved by the driver in the mobile app.

05 Customer data

You own your customer data — loads, drivers, invoices, payroll, and the records you upload or generate using the Service. You grant Synpria a limited license to host, process, and display the data solely to operate the Service for you.

We do not use customer operational data to train cross-customer AI models. Aggregated, de-identified benchmarks (e.g. average rate per mile by lane) may be used to improve the product and are described in the Privacy Policy.

Export & deletion

You can export your data at any time in CSV or via API. Within 30 days of termination, you can request a final export; after 30 days, data is deleted from production within 60 days and from backups within 12 months.

06 Availability & SLA

Synpria targets 99.9% platform availability excluding scheduled maintenance windows.

Maintenance notifications and service updates may be communicated through the platform, email, or support channels.

07 Intellectual property

Synpria platform, software, source code, interfaces, workflows, dashboards, AI systems, designs, branding, logos, documentation, APIs, databases, and related materials are the exclusive intellectual property of Synpria and are protected under applicable copyright, trademark, trade secret, and intellectual property laws.

Customers retain ownership of their fleet data, operational records, uploaded documents, driver information, and business data stored within the platform.

Users may not:

  • Copy, reproduce, modify, distribute, or create derivative works from the platform
  • Reverse engineer, decompile, disassemble, or attempt to access source code
  • Remove proprietary notices, copyrights, or trademarks
  • Resell, sublicense, lease, or commercially exploit Synpria without authorization
  • Use automated scraping, bots, or unauthorized data extraction methods
  • Attempt security testing, penetration testing, or vulnerability scanning without written approval
  • Use the platform to build competing software or derivative products

AI models, automation workflows, dispatch logic, optimization systems, analytics methods, and proprietary business processes developed by Synpria remain exclusive property of Synpria. Customer feedback, feature requests, suggestions, and product recommendations may be used by Synpria without restriction for product development and improvement.

08 Third-party integrations

The Service connects to third parties you choose — ELD providers, factoring companies, fuel-card issuers, load boards, accounting systems. Their terms govern your use of their services. Synpria is not responsible for third-party outages, data accuracy, or fees they charge.

Disconnecting an integration does not delete data we already imported with your authorization; it stops further sync.

09 Warranty disclaimers

The Service is provided "as is" and "as available." Beyond the SLA and any warranties in your order form, Synpria disclaims all implied warranties — merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI predictions.

AI features (profitability forecasts, dispatch suggestions, anomaly alerts) are decision-support tools. Final dispatch, hiring, and financial decisions are yours.

10 Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, consequential, or punitive damages, including lost profits, lost revenue, or business interruption. Each party's total liability arising out of these Terms is capped at the fees you paid in the 12 months preceding the claim.

This cap does not apply to (i) breach of confidentiality, (ii) infringement of the other party's IP, or (iii) a party's gross negligence or willful misconduct.

11 Termination

  • You can cancel at the end of your current term by written notice 30 days before renewal
  • Either party can terminate for material breach not cured within 30 days of written notice
  • We can suspend access immediately for non-payment, security incidents, or use that puts the platform at risk

On termination, you owe fees for the period of access. Sections 5 (Customer Data), 7 (IP), 9–10 (Warranty & Liability), 12 (Disputes), and 13 (General) survive.

12 Disputes

These Terms are governed by the laws of California, without regard to conflicts-of-law principles. Disputes will first be raised in writing to support@synpria.com; if not resolved within 30 days, they will be resolved by binding arbitration in Sacramento, California, under JAMS Streamlined Rules.

Either party may seek injunctive relief in court for IP or confidentiality matters.

13 General

  • Notices — sent to the email on your account or to support@synpria.com for Synpria.
  • Assignment — you may not assign these Terms without our consent, except to a successor of substantially all of your business.
  • Force majeure — neither party is liable for delays caused by events outside reasonable control.
  • Entire agreement — these Terms, your order form, the Privacy Policy, and the SLA are the full agreement.
